UK watchdog begins formal review of eBay's purchase of Depop

Regulatory Review of eBay's Acquisition of Depop

Background of the Acquisition

June 8 (Reuters) - Britain's competition regulator said on Monday it would begin formally reviewing eBay's planned acquisition of Gen-Z focused fashion resale platform Depop after ending the first part of its information gathering process.      The Competition and Markets Authority (CMA) said it had closed its invitation to comment, where interested parties had a chance to tell the regulator how the proposed transaction would impact competition in the UK.

Details of the Deal

eBay announced in February it planned to buy Depop from Etsy for about $1.2 billion and the purchase is expected to close this month.

Strategic Implications for eBay and Etsy

The deal is expected to help eBay expand its reach with younger shoppers and strengthen its position in the fast-growing resale clothing market, while Etsy focuses on its core handmade and vintage goods marketplace in pursuit of a turnaround.

Competition and Markets Authority (CMA) Investigation

Investigation Timeline

The CMA said the deadline for its phase 1 investigation was August 6, after which it would decide whether to clear the deal or refer it for a more in-depth investigation.

Responses from Involved Parties

Etsy and eBay did not respond to Reuters' requests for comment.

Key Takeaways

  • The CMA launched its formal Phase 1 investigation on April 23, 2026, inviting comments until May 8 2026—this marks the transition from pre‑notification to an active probe into the eBay‑Depop deal (gov.uk).
  • Depop, a mobile‑first Gen Z‑focused resale platform with ~7 million active buyers (≈90% under age 34) and over 3 million sellers, generated ~$1 billion in global GMV in 2025—its growing influence in UK recommerce may raise competitive concerns (theguardian.com).
  • eBay aims to deepen engagement with fashion‑forward younger consumers via the deal, but the CMA’s scrutiny reflects worries about reduced competition, loss of choice or price pressure in the clothing resale segment (theguardian.com).
