King & Spalding today announced that Ryan D. McNaughton has joined the firm’s Corporate, Finance and Investments (CFI) practice group as counsel in the New York office. McNaughton focuses on structured finance and specialty leveraged finance matters and will broaden the firm’s esoteric securitization practice into several new asset classes.

“Ryan’s addition adds to the continued momentum of our CFI practice in New York,” said Todd Holleman, the group’s leader.

McNaughton advises underwriters, issuers, lenders, borrowers, private equity firms and other financial institutions in a variety of structured and asset-backed financings, including public and private secured and unsecured note offerings and credit facilities.

“Beginning with Michael Urschel’s arrival in 2014, King & Spalding has built a specialty finance team that is one of a select few that works on a range of esoteric securitizations, from whole business securitizations of franchise royalties and company-owned store revenues to transportation, telecom and other technology revenues,” said Carolyn Alford, leader of the firm’s Financial Services Industry of Focus. “Ryan’s addition further strengthens this bench into a number of additional asset classes and follows the addition of securitization team members Terry Novetsky, Jeff Misher and Anthony Mechcatie.”

McNaughton has most recently focused his practice on whole business securitization and securitizations backed by tax liens, timeshare loans and Property Assessed Clean Energy (PACE) assets. With 13 years of asset-backed securities (ABS) experience, McNaughton has worked on a broad variety of finance and structured finance matters, and has significant “traditional” ABS experience in asset classes such as residential mortgage-backed securities, commercial mortgage-backed securities, trade receivables, automobile loan ABS and collateralized loan obligations. Other experience also includes project finance, transactions secured by real estate, and the use of structured finance vehicles as a form of acquisition finance.

McNaughton received his B.A. cum laude from Williams College and his J.D. from Cornell Law School. McNaughton is also an adjunct professor at Cornell Law School, having taught several seminars on secured transactions. He is also an avid classical pianist. McNaughton joins the firm from Paul Weiss.
