According to the Complaint, the Company made false and misleading statements to the market. Arlos new battery for the Companys Ultra camera systems suffered from flaws and quality issues. These problems resulted in a shipping delay in the Ultra cameras. The delays endangered Arlos product from reaching the market for the holiday season, and allowed competitors to capitalize on the issue, gaining market share from the Company. At the same time, Arlos customers experienced problems with the product including excessive battery drain. The battery issues were likely to negatively impact the fourth quarter 2018 financial results. Based on these facts, the Companys Registration Statement was false and materially misleading.
