Bluedrop Performance Learning (“Bluedrop” or the “Corporation“) (TSX-V: BPLI) is pleased to announce that the shareholders have voted in favour of all items brought before them at the Corporation’s annual and special meeting of shareholders held in Halifax, Nova Scotia on March 27, 2019 (the “Meeting“).
At the Meeting, the shareholders re-elected Emad Rizkalla, Derrick Rowe, Andrew Youngman, Paul Sparkes and Tom Astle as directors of Bluedrop to hold office until their successors are duly elected or appointed. In addition, the shareholders approved the reappointment of KPMG LLP as auditor of Bluedrop until the next annual meeting of shareholders or until a successor is appointed and authorized the directors of Bluedrop to fix the auditors remuneration.
At the Meeting, the shareholders also approved the proposed continuance of Bluedrop, which is currently governed by the Corporations Act (Newfoundland and Labrador), to the federal laws of Canada under the Canada Business Corporations Act (the “Continuance“) In connection with the proposed Continuance, the shareholders approved the adoption of new by-laws to be effective upon the Continuance. Upon completion of the Continuance, the Corporation will cease to be a corporation governed by the laws of Newfoundland and Labrador and will be governed by the Canada Business Corporations Act. Bluedrop will provide an update upon completion of the Continuance.
The Board of Directors has re-appointed Mr. Derrick Rowe as Executive Chairman of the Board and confirmed the continuation of Mr. Emad Rizkalla as President and Chief Executive Officer, Mr. Bernie Beckett as Chief Financial Officer and Mr. John Moores as Chief Operating Officer.
