On August 29, 2018, the Board caused K2M to enter into an agreement and plan of merger (the Merger Agreement) with Stryker. Pursuant to the terms of the agreement, shareholders of K2M will receive $27.50 in cash for each share of K2M common stock.

On September 21, 2018, K2M filed a preliminary proxy statement (Proxy Statement) with the United States Securities and Exchange Commission in connection with the Proposed Transaction, which recommends that K2Ms shareholders vote in favor of the Proposed Transaction.
